This paper is proposed to help analyze the subject matter of corporate governance. It begins with an analysis of available literature and theoretical perspectives provided by different researchers. Then it endeavors to establish a practical relationship between organizational perspectives and corporate governance taking into consideration prospects of organizational speculations and transaction cost economics. A comparison between the models of corporate governance prevailing in Europe and America is also presented in this context. The detailed study has made this fact more prominent that the CEOs of companies play a vital role in the implication of corporate governance. therefore, some light is also shed upon their role in its development. Finally, conclusions are drawn and recommendations are provided in the light of the whole study.
